Terms of Service

1. Agreement to Terms

By accessing and using the services provided by Arransystems ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations.

2. Description of Services

Arransystems provides IT consultancy and technical delivery services including:

• Agile project and program delivery management
• Technical delivery management and architecture
• DevOps culture and delivery team development
• Cloud technology solutions (AWS, Azure, GCP)
• System integration and modernization
• Research and development in algorithmic trading and quantitative software

3. Service Engagement

3.1 Project Scope

Each engagement will be governed by a separate statement of work (SOW) or contract that defines the specific scope, deliverables, timeline, and compensation terms.

3.2 Client Responsibilities

• Provide accurate and timely information required for service delivery
• Ensure access to necessary systems and personnel
• Comply with agreed timelines and communication protocols
• Payment of fees as specified in the engagement agreement

4. Intellectual Property

4.1 Client IP

All intellectual property owned by the Client prior to engagement remains the property of the Client.

4.2 Work Product

Unless otherwise specified in the engagement agreement, deliverables created specifically for the Client will be owned by the Client upon full payment.

4.3 Company IP

Arransystems retains ownership of its methodologies, frameworks, and general knowledge developed prior to or independently of the engagement.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the service agreement.

6. Payment Terms

• Payment terms will be specified in individual engagement agreements
• Late payments may incur additional charges as specified
• All fees are exclusive of applicable taxes unless otherwise stated

7. Limitation of Liability

To the maximum extent permitted by law, Arransystems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

8. Professional Standards

Our services will be performed in accordance with generally accepted professional standards applicable to similar services. We do not guarantee specific outcomes or results.

9. Termination

Either party may terminate an engagement with appropriate notice as specified in the individual service agreement. Termination does not relieve either party of obligations incurred prior to termination.

10. Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, or other unforeseeable events.

11. Governing Law

These terms shall be governed by the laws of Canada. Any disputes will be subject to the exclusive jurisdiction of Canadian courts, unless otherwise specified in individual engagement agreements.

12. Amendments

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients with reasonable advance notice.
